1. Introduction and Acceptance of Terms

Meritune LLC ("we," "our," or "us") operates the Meritune mobile application (the "App"), a social platform that connects music fans with artists. These Terms of Service ("Terms") are a binding agreement between you and Meritune LLC.

By downloading, installing, or using the Meritune app, creating an account, or otherwise accessing our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the App.

We also encourage you to read our Privacy Policy at https://meritune.app/privacy-policy, which describes how we collect, use, and protect your information.

2. Eligibility and Age Requirements

You must be at least 13 years old to use Meritune. By using the App, you represent that you meet this age requirement.

In some jurisdictions (including certain countries in the European Economic Area), you may need to be at least 16 years old to use the App, or have parental or guardian consent if you are between 13 and 16. It is your responsibility to ensure your use of Meritune complies with the laws of your country or region.

Meritune is not intended for children under 13. We do not knowingly collect personal information from children under 13. If we learn that we have collected information from a child under 13, we will delete it promptly.

3. Account Creation and Security

3.1 Registration

To use certain features of Meritune, you must create an account. You sign up using email and OTP (one-time password) – we send a verification code to your email to confirm your identity.

You agree to provide accurate, current, and complete information during registration and to keep that information up to date.

3.2 Account Types

Meritune offers two account types:

• Artist accounts – For musicians who create and share content, manage shows, and connect with fans

• Fan accounts – For users who discover artists, follow accounts, like and comment on posts, and use discovery features

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@meritune.app if you suspect unauthorized access to your account.

You may not create multiple accounts to evade a ban, circumvent restrictions, or otherwise violate these Terms.

4. Acceptable Use and Prohibited Activities

You agree to use Meritune only for lawful purposes and in accordance with these Terms. You may not:

• Harass, bully, or threaten other users

• Post hate speech or content that promotes discrimination or violence

• Impersonate or falsely represent another person, artist, or entity

• Post spam or repetitive, commercial, or promotional content not permitted by Meritune

• Share illegal content or content that promotes illegal activity

• Infringe copyright or other intellectual property rights

• Post nudity or overt sexual content

• Use overtly political language in posts, comments, or profiles. This is not because we take a position on any political matter, but because we do not want Meritune to become a place for political arguments.

You also may not:

• Scrape, crawl, or harvest data from the App without our permission

• Attempt to hack, reverse engineer, or compromise the App or our systems

• Use bots or automated tools to access or interact with the App without authorization

• Circumvent any security or access controls

We may remove content and suspend or terminate accounts that violate these rules.

5. AI-Generated Content

Meritune is a platform for human artists and music fans. The following uses of AI-generated content are strictly prohibited:

• Music made using generative AI – Music created with tools including but not limited to Suno AI, Udio, ElevenLabs Music, Boomy, Soundraw, Musicfy, or similar services is not allowed. If you are caught using any of these tools to create and release music, or are found posting such music on Meritune, you will face a lifetime ban.

• AI-generated album art and images – AI-generated album art, profile photos, post images, or any other images are not allowed and will result in a lifetime ban.

• Fans who use AI-generated images as their profile photo – May be banned. We reserve the right to remove such content and suspend or permanently ban accounts.

We have the final say over who and what gets banned. Our decisions regarding AI-generated content and all other moderation matters are final and not subject to appeal.

6. User-Generated Content

6.1 Content You Post

Meritune allows you to post content such as:

• Posts – Captions, images, and music track information

• Comments – Comments on other users' posts

• Profile information – Username, profile photo, location, bio

You are solely responsible for the content you post. You represent and warrant that:

• You own or have the necessary rights to post all content you share

• Your content does not violate these Terms or any applicable law

• Your content does not infringe the rights of any third party

6.2 Music Track References

Posts may include references to music tracks (e.g., links to Spotify, Apple Music, YouTube Music, or other streaming services). You may only reference tracks that you have the right to promote. Do not post content that infringes or encourages infringement of music rights.

6.3 Content Visibility

Content you choose to post on Meritune may be visible to other users of the App and may appear in feeds, search results, and discovery features.

6.4 Platform Role Disclaimer

Meritune is a platform that hosts user-generated content. We do not endorse, verify, or guarantee the accuracy of content posted by users. Users are solely responsible for the content they publish on the platform.

7. Ownership of Your Content

You retain ownership of the content you post on Meritune. Posting content does not transfer ownership to us.

8. License Granted to Meritune

By posting content on Meritune, you grant Meritune LLC a non-exclusive, worldwide, royalty-free, sublicensable license to use, display, reproduce, distribute, and perform your content within the App and in connection with operating Meritune. This license is used to:

• Display your content in feeds and profiles

• Allow other users to view, like, and comment on your content

• Operate, improve, and promote the App

This license continues for the duration of your use of the App and for a reasonable period after you remove content or delete your account, so we can complete backups, caching, and similar technical operations.

9. Copyright Policy

You may only post content that you own or have permission to use. You may not post content that infringes copyright or other intellectual property rights.

If you believe content on Meritune infringes your copyright, please follow our DMCA process in Section 10.

10. DMCA Takedown Policy

Meritune respects the intellectual property rights of others and complies with the Digital Millennium Copyright Act (DMCA).

10.1 DMCA Takedown Notice

If you believe content on Meritune infringes your copyright, please send a DMCA takedown notice to our designated agent with:

1. Your physical or electronic signature

2. Identification of the copyrighted work you claim is infringed

3. Identification of the content that you claim is infringing and where it is located

4. Your contact information (address, phone, email)

5. A statement that you have a good faith belief that use of the content is not authorized by the copyright owner, its agent, or the law

6. A statement that the information in the notice is accurate and under penalty of perjury that you are the copyright owner or authorized to act on their behalf

We will process valid DMCA notices and may remove or disable access to infringing content.

10.2 Counter-Notice

If you believe your content was removed by mistake, you may send a counter-notice that includes the information required by the DMCA. We may restore content if we receive a valid counter-notice and the original claimant does not file a court action.

10.3 Repeat Infringers

We may terminate accounts of users who are repeat infringers.

11. Content Moderation and Enforcement

We may, at our discretion:

• Remove content that violates these Terms or our policies

• Hide content from feeds while we review reports

• Suspend accounts temporarily

• Permanently ban users who violate these Terms

We are not obligated to monitor all content, but we may do so at any time. We may act on reports, automated signals, or our own review. We have the final say over who and what gets banned. Our moderation decisions are final, may be made at our sole discretion, and are not subject to appeal.

12. Blocking and Reporting

12.1 Blocking

You may block other users to prevent them from seeing your content and to hide their content from your feeds. Blocked users cannot see your content in their feeds, and you will not see theirs. You can unblock users at any time under Settings → Blocked users.

12.2 Reporting

You may report posts, comments, or users that you believe violate these Terms. Report reasons include, but are not limited to:

• Spam

• Harassment

• Nudity or sexual content

• Hate speech

• Self-harm

• AI or fake content

• Other (with optional details)

We review reports and may take action when appropriate. We may retain report data for safety, fraud prevention, and legal compliance.

13. Third-Party Links and Services

Meritune may integrate with or link to third-party platforms. These services operate independently from Meritune. Meritune may include links to third-party services such as:

• Spotify – Music streaming and artist profiles

• Apple Music – Music streaming and artist profiles

• YouTube Music – Music streaming and artist profiles

• Amazon Music, Tidal, Deezer – Other streaming services

We also use third-party services to operate Meritune, including:

• Supabase – Authentication, database, storage, push notifications

• Expo – App framework and push notifications

• Google Maps Platform – Geocoding and location autocomplete

Meritune is not responsible for third-party services. Links to streaming platforms or other services are for your convenience. Your use of third-party services is subject to their terms and privacy policies. We do not control and are not liable for their content, availability, or practices.

14. Intellectual Property Rights

Meritune LLC owns all rights in the Meritune app, including:

• The software, platform, and technology

• The Meritune name, logo, and branding

• Trademarks and design elements

You may not copy, modify, distribute, or create derivative works of the App or our intellectual property without our written permission.

15. Feedback and Suggestions

If you submit feedback, suggestions, or ideas about Meritune, you grant Meritune LLC a non-exclusive, worldwide, royalty-free, perpetual license to use, implement, and commercialize that feedback without compensation to you.

16. Beta Software Disclaimer

Meritune is currently in an early stage of development. The App may contain bugs, errors, or experimental features. We may change or discontinue features without notice. We appreciate your patience and feedback as we improve the platform.

17. Service Availability

We may modify, suspend, or discontinue the App or any feature at any time without liability to you.

18. No Professional Advice

Content available on Meritune is provided for informational and entertainment purposes only and should not be considered professional advice.

19. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOUR USE OF THE APP IS AT YOUR OWN RISK.

20. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• MERITUNE LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE APP.

• OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE APP SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

21. Indemnification

You agree to indemnify, defend, and hold harmless Meritune LLC and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the App

• Your content

• Your violation of these Terms

• Your violation of any third-party rights

22. Account Suspension and Termination

22.1 Termination by You

You may delete your account at any time:

• In the App: Settings → Delete my account. You will be asked to type "Delete my account" to confirm.

• Outside the App: Visit https://meritune.app/delete-account or email delete@meritune.app to request deletion. We will process requests within 30 days.

Account deletion is permanent and cannot be undone.

22.2 Termination by Us

We may suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms or for any other reason.

22.3 Effect of Termination

Upon termination, your right to use the App ends. Sections that by their nature should survive (including ownership, license, indemnification, limitation of liability, and governing law) will survive termination.

23. Changes to the Terms

We may update these Terms from time to time. We will notify you of material changes by:

• Posting the updated Terms at https://meritune.app/terms-and-conditions

• Updating the "Last updated" date

Your continued use of the App after changes are posted constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the App and delete your account.

24. Governing Law

These Terms are governed by the laws of the State of Minnesota and the United States, without regard to conflict of law principles. Any disputes arising from these Terms or the App shall be resolved in the state or federal courts located in Minnesota, and you consent to the personal jurisdiction of such courts.
